Carve-Outs and Divestitures

Claims history for a carved-out business: what is available and how to use it.

A new group with no history is priced on assumptions. Claims history from the parent, handled properly, lets carriers price the divested business on its own experience.

How We Help

Six parts of carve-out claims history.

Requesting Claims Data

Ask the parent for experience limited to the transferring population, in a form that respects privacy limits.

Privacy and Data Handling

Health information is protected, so data is typically de-identified, aggregated or reviewed by a limited team.

Isolating the Divested Population

Parent-wide experience must be separated to show only the transferring employees and dependents.

Large Claimants

A few high-cost claims can set pricing, so they are identified and addressed in underwriting.

Pharmacy Cost History

Drug spend and specialty utilization shape the pharmacy contract and the stop-loss view.

Presenting Experience to Carriers

A clean, accurate submission improves quotes and shortens underwriting.

Going Deeper

Using claims history without exposing anyone.

Health information is protected, so the parent usually shares it in aggregated or de-identified form, or through a limited team under confidentiality terms. The goal is to give a carrier enough to price the group on its own experience without revealing who the claimants are.

The submission matters. Present the experience for the transferring population only, by month, with large claims described and pharmacy spend identified. A carrier that can follow the data will often price more confidently, while one that sees only a parent-wide average will add a margin for the unknown.

Questions We Get

Claims data questions in a divestiture.

Plain answers for HR, finance and deal teams.

Can the Parent Share Claims Data?

Usually yes in a limited form. Privacy rules restrict what can be shared, so the format is agreed in advance.

How Much History Do Carriers Want?

Typically a year or more of paid claims, with enrollment, so trend and large claims can be seen.

What If the Parent Is Self-Funded?

Self-funded parents often hold detailed claims, but the stop-loss carrier and administrator may need to release them.

What If No History Exists?

Carriers price from demographics and industry norms, which is usually less favorable than a clean experience.

Is the Data De-Identified?

Often, or shared through a restricted team. Counsel or the privacy officer should confirm the approach.

How Do Large Claims Affect Pricing?

They can lead to higher stop-loss attachment points or specific exclusions, so addressing them early matters.

Who Prepares the Submission?

We build it from the data the parent provides, working with HR, finance and counsel.

How Long Does Claims Analysis Take?

Depends on how quickly data arrives. The analysis itself is quick once the file is clean.

Does the Buyer Own the Data?

Rights to the data are set by the deal documents and privacy law, so check the agreement.

What Is in the Experience Package?

A claims summary for the divested population and a carrier-ready experience package.

Why do carriers care about large claims?

A few high-cost claimants can drive the experience of a small group, so carriers look at them specifically and may price them differently or exclude them in stop-loss.

What if the parent cannot isolate the population?

Ask what is possible, such as an estimate by headcount share, and tell carriers how the figures were derived so they can judge reliability.
